The legal advice provided included structuring the capital increase, supporting the bidding process, obtaining the necessary approvals, Robau's anticipatory mandatory offer, and finally the listing of the new shares on the Official Market of the Vienna Stock Exchange on the basis of a listing document in accordance with the Listing Act, which has only partially entered into force.

Following the capital increase and the completion of the anticipatory mandatory offer, Robau now holds the majority of shares in Rosenbauer International AG. The new shares have been listed on the Official Market of the Vienna Stock Exchange since June 6, 2025.

The capital increase marks a significant milestone in Rosenbauer's refinancing and strengthens the company's financial base in the long term.

Florian Khol (Managing Partner and Transaction Lead): "We are delighted with the successful completion of this complex transaction. Advising listed companies on such projects is a particular challenge due to the legal transparency requirements and requires the utmost precision. The transaction took place practically in the public spotlight. We are therefore all the more pleased that we were able to contribute to its success with our expertise. I would like to thank my entire team, without whose tireless efforts this would not have been possible!"
