As comfortable arguing to a jury or arbitrator as he is to an appellate panel, Bryan Ketroser concentrates his practice on securities litigation, complex commercial litigation and SEC investigations. He represents technology companies, entrepreneurs, officers, directors, employees and shareholders in high-stakes matters in California, Delaware, and other courts throughout the US. 

In one recent engagement, Bryan helped achieve a full defense verdict for a software company and its chief executive officer. The plaintiff, a former shareholder, alleged breach of fiduciary duty, fraud and more, seeking millions of dollars in damages. Bryan drafted early dispositive motions that dismissed many of the plaintiff ’s claims, then succeeded in discrediting one of the plaintiff ’s primary witnesses. Ultimately, Bryan and his team defeated all claims and secured an award of attorneys’ fees and costs. 

In another case, Bryan helped lead briefing and argument on a series of successful procedural motions, culminating in the dismissal of nearly the entire case. After obtaining a stay of roughly half the case on grounds of inconvenient forum, successfully moving to quash service on a defendant (and then getting the defendant dismissed for lack of service), and convincing the court that the plaintiff was not entitled to a jury on any of his claims, the court ultimately granted summary adjudication in his clients’ favor on virtually all remaining claims. 

In another recent matter, Bryan materially contributed to the dismissal of a former chief financial officer of a Fortune 500 semiconductor company from a shareholder class action seeking nearly $100 million. 

Outside of court, Bryan regularly assists clients in achieving their goals through prelitigation counseling and aggressive representation in settlement negotiation. The reason he can help clients achieve their goals is because he understands what they are. Bryan invests significant time and effort into understanding a client’s objectives and risk tolerance in order to provide one-size-fits-one service and solutions. 

A graduate of Yale Law School, Bryan is a frequent speaker on the use of financial information in strategy, transactions and casework, and has been published in both Law360 and The Daily Journal. Benchmark Litigation has recognized Bryan as a Litigation Star since 2021 and, before that, repeatedly included him in its “40 & Under List.” Bryan also has been selected to Super Lawyers since 2020.
