• Case 1: Represented a large domestic security company in litigation over the transfer of equity income right and repurchase contract against a private enterprise in Beijing Higher People's Court. The subject matter of the case is about RMB1 billion. The case involves complex legal issues such as the validity of the terms of shareholder repurchase obligations and the structure of investment transactions nested by multi-tier trusts. In the end, Mr. Xu represented his client in a comprehensive victory.
• Case 2: Represented a state-owned trust company in a series of disputes against the state-owned shareholder in the Second Intermediate People's Court of Beijing and the Xicheng District People's Court in Beijing. The series of cases involve the legitimacy of the meeting procedure convened by the board of directors and the shareholders, the exclusion period of the company's resolution revocation right, the difference between the application of the resolution revocation and invalidity, and whether the capital increase harms the interests of minority shareholders. In the end, Mr. Xu won a comprehensive case on behalf of his client, effectively helping the client to continue to advance the underlying capital increase of about RMB1.4 billion.
• Case 3: Represented a well-known real estate development enterprise in Hong Kong in bidding and contract disputes with the mainland general contractor for construction projects. The subject matter of the case is about RMB300 million. The case involves a number of complex legal issues such as construction overdue, project quality, cost appraisal, and wage protection for migrant workers. Based on the client's time requirements, Mr. Xu on behalf of the client conducted many rounds of negotiations with the opposite party and related government departments, quickly reached a settlement with the other parties and assisted the government departments to properly solve the issue of migrant workers' wages, and thus avoided the huge potential business loss of the project due to long-term litigation.
• Case 4: Represented a French private equity fund in litigation with a private medical institution over a VIE Structure Equity Transfer and Repurchase Dispute before the Chengdu Intermediate People's Court. The subject matter of the case is about RMB30 million. The case dealt with complex and hot legal issues such as the validity of the contract, foreign exchange control and the realization of subrogation right for creditors under different applicable laws of the VIE structure. In the end, Mr. Xu represented his client and won the case comprehensively.
