Quynh regularly advises leading multinational companies in Vietnam in various industries, such as insurance, shipping and real estate. He has also advised multinational real estate developers, pharmaceutical companies and oil and gas companies in cross-border M&A transactions. He has a strong presence in M&A and capital markets transactions involving public companies and transactions involving the transfer of a large package of assets including employees. He also actively advises PE funds in equity and bond investments.

Recent case highlights

Advised a foreign owned tobacco company in Vietnam (the client) in a dispute with the Customs who alleged that trademark royalty must be added into dutiable value of materials imported by the client. Such additional imposition not only caused adverse effects on the client’s business but also set a poor precedent affecting Vietnam tobacco industry. The client lost the case at the trial stage. After working with and seeking supports from various authorities, Quynh successfully assisted the client to win the case at the appellate stage.
Advised ACL An Nam Singapore, the client, a major shareholder of Golden Tower BTS Corporation (“GT”). Although the client held 99.99% of ordinary shares of GT, they were refrained by the Vietnamese shareholders who hold management positions in GT from managing the company and from enforcing their shareholder rights. There were 4 lawsuits lodged with competent courts in Vietnam from both parties. The case was even brought to the Ministry of Police for criminal investigation. Quynh assisted the client to successfully take back control of GT in June 2018. The value of the dispute is approximately USD12 million.
Represented a 100% foreign invested furniture company (the client) in an employment dispute against its legal representative who made certain financial wrongdoings during her employment at the company. Quynh successfully assisted the client to dismiss the employee and recover all sums misappropriated by the employee.
