Mr Gao Shulin, a senior partner of Lantai Partners, Shanghai University Law School adjunct professor, and China People’s Police University Law School adjunct professor, has practiced law for over 30 years. He is also one of the Vice Presidents of the Alumni Association of China University of Political Science and Law (AACUPL), and President of Jiangsu Branch of AACUPL.
Mr. Gao’s practice spans the full range of capital markets, finance, asset management, and bankruptcy & restructuring. 1. Muyang Group: Advising and acting for multiple founding shareholders (holding more than 50% of shares in total) on taking back control of the Group and recovery of shareholders’ rights and interests, including planning the shareholders’ meeting procedures, fully participating in the shareholders’ meeting, convening board meetings, providing corporate governance framework to recover its normal operation, representing the Group in litigations regarding the recovery of certificates and licences, and giving legal advice on future actions against previous operators who had infringed Group’s rights and interests.
2. A pharmaceutical corporation: Acting for the corporation in a CNY 2-billion investment litigation as well as providing related non-litigation services involving legal relationships of trust, funds, factoring and etc; analysing the merger and acquisition of the listed company, preparing the negotiation plan that affects multiple legal and natural persons; vigorously rebutting the other party; and successfully recovered full principal and part of investment proceeds by exercising the right of dissolution within three months after accepting the retainer.
3. A banking institution: Providing legal services for the bank with respect to its PPP project loans when credit rating of project borrowers significantly drops; mitigating the compliance risk of the bank’s PPP project loan and the risk of potential loan losses when private funders are in credit crisis; Analysing the compliance of PPP projects, acting for the bank to negotiate with local governments and governmental financing platforms after the bank executed loans; preparing complementary agreements in respect of advancing PPP projects; facilitating the parties to make informed decisions to prevent project stagnation and additional losses; and protecting project builders’ rights and interests.
